These Terms of Service ("Terms") govern your access to and use of the QUIIQ SaaS platform, including our website at https://quiiq.com, the web application at https://app.quiiq.com, APIs, and WhatsApp Business Platform integrations (collectively, the "Service"), operated by TICCO (The Indian Consultancy & Company) ("TICCO", "we", "us", or "our").
QUIIQ is a product developed and operated by TICCO (The Indian Consultancy & Company).
By creating an Account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them and our Privacy Policy. If you do not agree, do not use the Service.
WhatsApp is a trademark of Meta Platforms, Inc. QUIIQ integrates with the WhatsApp Business Platform and is not affiliated with or endorsed by Meta Platforms, Inc.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and security
To use most features, you must register for an Account and provide accurate information. You agree to:
- Maintain current account and billing details
- Keep login credentials and API keys confidential
- Promptly notify us of unauthorized access at support@quiiq.com
- Accept responsibility for activity under your Account and authorized users
We may suspend or terminate Accounts that violate these Terms, pose security risks, or remain inactive for extended periods, subject to applicable law and any paid subscription terms.
3. Subscriptions, billing, and trials
Certain features require a paid subscription. Pricing, plan limits, and billing cycles are described on our website or in your order form. By subscribing, you authorize us and our payment processor (including Razorpay) to charge applicable fees, taxes, and renewals unless you cancel before the renewal date.
- Paid tiers: access levels, message volumes, seats, and features vary by plan
- Free trial: we may offer a time-limited trial at our discretion; trial terms will be stated at signup and may convert to a paid plan unless you cancel
- Non-payment: we may suspend or downgrade the Service for overdue invoices
- Refunds: except where required by law or expressly stated in writing, fees are non-refundable once a billing period has started
You are responsible for all charges incurred under your Account, including usage by team members you invite.
4. The Service and acceptable use
QUIIQ provides tools to manage business communications, including WhatsApp Business messaging, team collaboration, automation, and related analytics. You agree not to:
- Use the Service for unlawful, fraudulent, harassing, or deceptive purposes
- Send spam, unsolicited bulk messages, or prohibited content
- Infringe intellectual property, privacy, or publicity rights
- Attempt to probe, scan, or breach our or third-party systems
- Reverse engineer, scrape, or resell the Service except as expressly permitted
- Circumvent usage limits, rate limits, or security controls
- Upload malware or interfere with Service integrity or availability
- Process personal data without a lawful basis and appropriate notices to data subjects
We may investigate violations and cooperate with law enforcement. You are solely responsible for content you and your users send through the Service.
5. WhatsApp and Meta compliance
Your use of WhatsApp features through QUIIQ requires a valid WhatsApp Business Account and compliance with Meta requirements, including:
- WhatsApp Business Terms of Service
- WhatsApp Business Messaging Policy
- Meta Platform Terms and applicable developer documentation
You agree to:
- Obtain and document opt-in consent before messaging End Users where required
- Use approved message templates and categories for outbound notifications
- Honor opt-out requests and maintain accurate contact lists
- Not use the Service for prohibited industries, content, or practices under Meta rules
- Maintain your own privacy notices and lawful basis for processing End User data
Meta may change, suspend, or revoke WhatsApp access independently of us. We are not responsible for Meta decisions, outages, or policy enforcement actions affecting your WhatsApp Business Account.
6. API usage
If we provide APIs, webhooks, or developer credentials, you may use them only as documented and within published rate limits. You must:
- Keep API keys secret and rotate them if compromised
- Implement reasonable security for endpoints receiving webhooks
- Not use APIs to build a competing product or exceed licensed scope
- Notify us of vulnerabilities discovered in the Service
We may modify, deprecate, or rate-limit APIs with reasonable notice when practicable. Continued use after changes constitutes acceptance of updated API terms.
7. Data ownership and license
Your data:You retain ownership of content, contacts, and messages you submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service, comply with law, and enforce these Terms.
Our property: The Service, software, documentation, branding, and aggregated anonymized analytics are owned by TICCO and its licensors. No rights are granted except as expressly stated in these Terms.
Feedback: suggestions you provide may be used without restriction or compensation.
Our Privacy Policy describes how we handle personal data, including retention for up to 24 months or until deleted, whichever is earlier.
8. Third-party services
The Service integrates with third parties such as Meta/WhatsApp, AWS, Vercel, Razorpay, and planned AI providers including OpenAI. Your use of those services is subject to their terms. We are not liable for third-party products, downtime, or data practices.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will protect such information with reasonable care and use it only for the relationship between us, except as required by law.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MESSAGES WILL BE DELIVERED BY WHATSAPP OR OTHER CARRIERS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICCO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) INR 10,000, EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Indemnification
You will defend, indemnify, and hold harmless TICCO (The Indian Consultancy & Company) and its affiliates, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Customer Data or messages you send; (c) violation of these Terms, Meta/WhatsApp policies, or applicable law; or (d) dispute with your End Users or customers.
13. Term and termination
These Terms begin when you first accept them and continue until terminated. You may cancel your subscription through account settings or by contacting support@quiiq.com. We may suspend or terminate access immediately for breach, non-payment, legal requirement, or risk to the Service or others.
Upon termination:
- Your right to access the Service ends
- Outstanding fees become due
- We may delete Customer Data after the retention period in our Privacy Policy, unless law requires longer storage
- Sections that by nature should survive (including payment obligations, IP, disclaimers, limitation of liability, indemnity, and governing law) remain in effect
You may request data deletion via our Data Deletion page.
14. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer protections in your jurisdiction, courts in Pune, Maharashtra, India will have exclusive jurisdiction over disputes arising from these Terms or the Service. You agree to attempt good-faith resolution by contacting support@quiiq.com before initiating formal proceedings.
15. Changes to these terms
We may update these Terms by posting a revised version at https://quiiq.com/termsand updating the "Last updated" date. Material changes will be communicated by email or in-product notice where required. Continued use after the effective date constitutes acceptance.
16. General provisions
- Entire agreement: these Terms and referenced policies constitute the full agreement regarding the Service
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a business transfer
- Severability: if any provision is unenforceable, the remainder stays in effect
- No waiver: failure to enforce a provision is not a waiver of future enforcement
- Force majeure: we are not liable for delays caused by events beyond reasonable control
